Our SL incorporation process, step by step

We manage the full lifecycle of your SL incorporation, from the first NIE application to the company's first tax filings.

1. NIE and digital certificate for directors

Every director or shareholder needs a Spanish foreigner ID (NIE) and a valid digital certificate to sign documents electronically.

  • Verification or application of NIE numbers.
  • FNMT digital certificate issuance for each relevant individual.
  • Cl@ve registration and guidance where this is the most efficient route.

2. Company name reservation

We request the negative name certificate (“certificado negativo de denominación social") from the Central Mercantile Registry to secure your chosen name and avoid conflicts.

3. Opening the company bank account

We coordinate with a Spanish bank or fintech provider to open the company account and deposit the share capital.

  • Advice on bank selection and documentation.
  • Assistance with the initial share capital deposit (minimum €1 under updated rules, although higher capital is recommended for credibility).

4. Drafting bylaws and incorporation documents

We prepare all corporate documentation in clear and compliant terms, tailored to your project.

  • Company bylaws defining the corporate framework.
  • Shareholders' resolutions and agreements.
  • Appointments of directors and management structure.
  • Definition of share capital and distribution.

5. Notarial deed of incorporation

We liaise with the notary to sign the Deed of Incorporation (Escritura de Constitución). You can attend in person in Spain or grant power of attorney so we can sign on your behalf.

6. Registration with the Mercantile Registry

After signing, we follow the registration process at the Mercantile Registry until the SL is fully constituted.

  • Confirmation of the official registration number and corporate details.
  • Delivery of certified bylaws and deeds.

7. Tax registration and activity start (AEAT)

Once the company is registered, we set it up correctly with the Spanish Tax Agency.

  • Filing of Modelo 036 for tax registration.
  • Activation for Corporate Tax and, where relevant, VAT.
  • Choice and registration of the appropriate IAE economic activity.
  • Application for an intra-EU VAT number (ROI/VIES) when the company will trade within the EU.

8. Social Security and payroll setup (if needed)

Where the director must be registered as autónomo societario or the company will hire staff, we handle the Social Security onboarding.

  • Employer registration with Social Security.
  • Director affiliation and classification under the correct regime.
  • Employee registration and payroll setup for the first hires.

9. Ongoing accounting and tax compliance (optional)

  • Quarterly VAT and withholding filings, plus annual summaries.
  • Preparation and filing of annual accounts.
  • Corporate Tax (Modelo 200) and related formalities.

  • Passport and NIE for each shareholder and director.
  • Proof of residential address.

  • Evidence of the initial capital contribution once the bank account is opened.
